Subject: SOFT OFFER REQUEST (SOR)

Date: 3/21/2008

Elgen Bio Fuels LLC (EBF) hereby requests Crude Degummed Rapeseed Oil (CDRO) Seller to provide Soft Offer per the following terms:

Origin:
Seller option

Contract Duration:
1-year w/ 1-year extensions; fixed price for 12 shipments

Monthly Shipment:
No less than 30, 000MT (+/- 5%); no more than 300, 000MT (+/- 5%)

Yearly Quantity:
No less than 360, 000MT (+/- 5%); no more than 3, 600, 000MT (+/- 5%)

Price:
Not to exceed USD885/MT CIF ASWP (INCOTERMS 2000 applicable) at 30, 000MT/mo.; price to reduce as volume increases

Delivery:
Bulk vegoil tankers

Payment:
FFRSBLC, 100% sight payable

Bond and Insurance:
1. 2.0% performance guarantee in the form of an operative standby letter of credit w/ Buyer as beneficiary (PG);
2. 115% all-risks insurance coverage.

Inspection:
By SGS/equal at loading port for quality/quantit; binding on Seller; for Seller account.

Procedures
1. Seller provides Soft Offer compliant with terms herein
2. Seller provides verification of product (VOP) via: (a) sterilized SGS certificate issued w/in the last 30 days showing Seller/Seller Supplier as owner of CDRO and compliance with specification detailed below; and (b) sterilized BL issued by a carrier within the last 30 days showing Seller/Seller Supplier as shipper, the quantity shipped, the commodity as CDRO, and carrier identity
3. Buyer provides ICPO and issues non-operative SBLC within 48 hours of receipt of Soft Offer with VOP
4. Seller provides contract
5. Buyer carries out Supplier site inspection and executes contract onsite
6. Seller issues PG, which causes FFRSBLC to become operative
7. Shipments begin as per contractual agreement

Validity:
SOR valid for ten (10) days from issuance and may be accepted via provision of a Soft Offer with VOP.
