I am looking for Seasoned MTN 10yr /7.5 int paper ***** backed ***** USD or Euro. Buyer will purchase no higer than 89 + 1 ***** SBP. ON EUROCLEAR .. NO POF. CONTRACT SIZE .. 500B + , under the simple procedure as below. Been advised that Client would like to put this procedure in LOI addressed to Seller. . Kindly approve the below procedure in order to arrange the LOI

1 - Buyer submits LOI ( cum contract ) which is to be signed by Seller as a contract. Seller signs LOI and inserts his Banking.

2 - At the agreed Window time Seller shall transmit a Corporate Invoice by Fax to Fax No +001 XXX XXXXX containing all CUSPIS and REGISTRATION NUMBERS, DENOMINATIONS, THE INSTRUMENTS TITLE SHEETS, THE TEXT OF INSTRUMENTS, NAME OF BANK(S), DATE OF ISSUE and MATERIAL CUSTODIAL, NAME OF REGISTERED OWNER, SAFEKEEPING RECEIPT NOS, FULL BOND POWER will be issued, and GUARENTEE OF DELIVERY OF HARD COPY WITHIN SEVEN (7) BANKING DAYS, which will be issued to the End Buyer. The verification can be done on Screen after the Invoices are received as stated above.

3 - Buyer shall cause their Bank to Bank Payment within Eight (8) Banking Hrs as allowed by ICC Rules as well by Banking Rules allowed for this type of Trade after Authentication and Verification.

4 - The Electronic Delivery can be made on the screen to be followed by Hard Copy which will be delivered Bank - Bank in Five/Seven Days as per Standard Banking Rules

5 - Both Buyer and Seller agree not to contact each others bank at any time under any circumstances directly or indirectly under any means or method. Any Breach will be considered a Criminal Offence and the offending party will be liable for damages including liquidated damages.

6 - The Sale and Purchase Agreement is a Private Transaction and does not fall under the Trading act and Securities and Exchange Regulation Act
